THIS IS A LEGAL AGREEMENT\nBETWEEN YOU AND STOVE, INC. (DBA READYSHIP.CO)<\/p>\n\n\n\n
BY SUBMITTING THE ONLINE\nAPPLICATION YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND\nCONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR\nEACH AND EVERY TERM AND CONDITION.<\/p>\n\n\n\n
1. Overview<\/strong><\/p>\n\n\n\n This Agreement contains\nthe complete terms and conditions that apply to you becoming an affiliate in\nreadyship.co’s Affiliate Program. The purpose of this Agreement is to allow\nHTML linking between your web site and the readyship.co web site. Please note that throughout this\nAgreement, “we,” “us,” and “our” refer to readyship.co, and “you,” “your,” and\n“yours” refer to the affiliate.<\/p>\n\n\n\n 2. Affiliate\nObligations<\/strong><\/p>\n\n\n\n 2.1. To begin the\nenrollment process, you will complete and submit the online application at the\nShareASale.com server. The fact that we auto-approve applications does not\nimply that we may not re-evaluate your application at a later time. We may\nreject your application at our sole discretion. We may cancel your application\nif we determine that your site is unsuitable for our Program, including if it:<\/p>\n\n\n\n 2.1.1. Promotes sexually\nexplicit materials <\/p>\n\n\n\n 2.1.2. Promotes\nviolence <\/p>\n\n\n\n 2.1.3. Promotes\ndiscrimination based on race, sex, religion, nationality, disability, sexual\norientation, or age<\/p>\n\n\n\n 2.1.4. Promotes illegal\nactivities <\/p>\n\n\n\n 2.1.5. Incorporates any\nmaterials which infringe or assist others to infringe on any copyright,\ntrademark or other intellectual property rights or to violate the law <\/p>\n\n\n\n 2.1.6. Includes\n“ReadyShip” or variations or misspellings thereof in its domain name<\/p>\n\n\n\n 2.1.7. Is otherwise in\nany way unlawful, harmful, threatening, defamatory, obscene, harassing, or\nracially, ethnically or otherwise objectionable to us in our sole discretion<\/p>\n\n\n\n 2.1.8. Contains software\ndownloads that potentially enable diversions of commission from other\naffiliates in our program. <\/p>\n\n\n\n 2.1.9. You may not create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website nor design your website in a manner which leads customers to believe you are readyship.co or any other affiliated business.<\/p>\n\n\n\n 2.1.10. You may not create or design fake coupons or banners that provide fake discounts for our services. <\/p>\n\n\n\n 2.2. As a member of\nreadyship.co’s Affiliate Program, you will have access to Affiliate Account\nManager. Here you will be able to review our Program\u2019s details and\npreviously-published affiliate newsletters, download HTML code (that provides\nlinks to web pages within the readyship.co web site) and banner creatives. In order for us to accurately keep\ntrack of all guest visits from your site to ours, you must use the HTML code\nthat we provide for each banner, text link, or other affiliate link we provide\nyou with.<\/p>\n\n\n\n 2.3. readyship.co reserves the right, at any time, to review\nyour placement and approve the use of Your Links and require that you change\nthe placement or use to comply with the guidelines provided to you.<\/p>\n\n\n\n 2.4. The maintenance and\nthe updating of your site will be your responsibility. We may monitor your site\nas we feel necessary to make sure that it is up-to-date and to notify you of\nany changes that we feel should enhance your performance.<\/p>\n\n\n\n 2.5. It is entirely your\nresponsibility to follow all applicable intellectual property and other laws\nthat pertain to your site. You must have express permission to use any person’s\ncopyrighted material, whether it be a writing, an image, or any other\ncopyrightable work. We will not be responsible (and you will be solely\nresponsible) if you use another person’s copyrighted material or other\nintellectual property in violation of the law or any third party rights.<\/p>\n\n\n\n 3. <\/strong>readyship.co<\/strong> Rights and Obligations<\/strong><\/p>\n\n\n\n 3.1. We have the right\nto monitor your site at any time to determine if you are following the terms\nand conditions of this Agreement. We may notify you of any changes to your site\nthat we feel should be made, or to make sure that your links to our web site\nare appropriate and to notify further you of any changes that we feel should be\nmade. If you do not make the changes to your site that we feel are necessary,\nwe reserve the right to terminate your participation in the readyship.co Affiliate Program.<\/p>\n\n\n\n 3.2. readyship.co reserves the right to terminate this Agreement\nand your participation in the readyship.co Affiliate Program immediately and without notice to you should you\ncommit fraud in your use of the readyship.co Affiliate Program or should you abuse this program in any way. If such\nfraud or abuse is detected, readyship.co shall not be liable to you for any commissions for such fraudulent\nsales.<\/p>\n\n\n\n 3.3. readyship.co reserves the right, at any time, to modify or remove\ncommission rules, for which You will be informed via email through the ShareASale\u2019s\nsystem. If any commission rules changes are unacceptable to you, You reserve\nthe right to terminate this contract. Our commission rules are not negotiable.<\/p>\n\n\n\n 3.4. This Agreement will\nbegin upon our acceptance of your Affiliate application, and will continue\nunless terminated hereunder.<\/p>\n\n\n\n 4.\nTermination<\/strong><\/p>\n\n\n\n Either you or we may end\nthis Agreement AT ANY TIME, with or without cause, by giving the other party\nwritten notice. Written notice can be in the form of email. In addition, this\nAgreement will terminate immediately upon any breach of this Agreement by you.<\/p>\n\n\n\n 5. Modification<\/strong><\/p>\n\n\n\n We may modify any of the\nterms and conditions in this Agreement at any time at our sole discretion. In\nsuch event, you will be notified by email. Modifications may include, but are\nnot limited to, changes in the payment procedures and readyship.co’s Affiliate Program rules. If any modification\nis unacceptable to you, your only option is to end this Agreement. Your\ncontinued participation in readyship.co’s Affiliate Program following the posting of the change notice or new\nAgreement on our site will indicate your agreement to the changes.<\/p>\n\n\n\n 6. Payment<\/strong><\/p>\n\n\n\n readyship.co uses a\nthird party to handle all of the tracking and payment. The third party is the\nShareASale.com affiliate network. Kindly review the network\u2019s payment terms and\nconditions.<\/p>\n\n\n\n 7. Access to\nAffiliate Account Interface<\/strong><\/p>\n\n\n\n You will create a\npassword so that you may enter ShareASale\u2019s secure affiliate account interface.\nFrom their site you will be able to receive your reports that will describe our\ncalculation of the commissions due to you.<\/p>\n\n\n\n 8. Promotion\nRestrictions<\/strong><\/p>\n\n\n\n 8.1. You are free to\npromote your own web sites, but naturally any promotion that mentions readyship.co could be perceived by the public or the press\nas a joint effort. You should know that certain forms of advertising are always\nprohibited by readyship.co. For\nexample, advertising commonly referred to as “spamming” is\nunacceptable to us and could cause damage to our name. Other generally\nprohibited forms of advertising include the use of unsolicited commercial email\n(UCE), postings to non-commercial newsgroups and cross-posting to multiple\nnewsgroups at once. In addition, you may not advertise in any way that\neffectively conceals or misrepresents your identity, your domain name, or your\nreturn email address. You may use mailings to customers to promote readyship.co so long as the recipient is already a customer\nor subscriber of your services or web site, and recipients have the option to\nremove themselves from future mailings. Also, you may post to newsgroups to\npromote readyship.co so long as the\nnews group specifically welcomes commercial messages. At all times, you must\nclearly represent yourself and your web sites as independent from readyship.co. If it comes to our attention that you are\nspamming, we will consider that cause for immediate termination of this\nAgreement and your participation in the readyship.co Affiliate Program. Any pending balances owed\nto you will not be paid if your account is terminated due to such unacceptable\nadvertising or solicitation.<\/p>\n\n\n\n 8.2. Affiliates are not\nprohibited from keying in prospect\u2019s information into the lead form as long as\nthe prospects\u2019 information is real and true, and these are valid leads (i.e.\nsincerely interested in ReadyShip\u2019s service).<\/p>\n\n\n\n 8.3. Affiliate shall not\ntransmit any so-called \u201cinterstitials,\u201d \u201cParasiteware\u2122,\u201d \u201cParasitic Marketing,\u201d\n\u201cShopping Assistance Application,\u201d \u201cToolbar Installations and\/or Add-ons,\u201d\n\u201cShopping Wallets\u201d or \u201cdeceptive pop-ups and\/or pop-unders\u201d to consumers from\nthe time the consumer clicks on a qualifying link until such time as the\nconsumer has fully exited ReadyShip\u2019s site (i.e., no page from our site or any readyship.co\u2019s content or branding is visible on the\nend-user\u2019s screen). As used herein a. \u201cParasiteware\u2122\u201d and \u201cParasitic Marketing\u201d\nshall mean an application that (a) through accidental or direct intent causes\nthe overwriting of affiliate and non affiliate commission tracking cookies\nthrough any other means than a customer initiated click on a qualifying link on\na web page or email; (b) intercepts searches to redirect traffic through an\ninstalled software, thereby causing, pop ups, commission tracking cookies to be\nput in place or other commission tracking cookies to be overwritten where a\nuser would under normal circumstances have arrived at the same destination\nthrough the results given by the search (search engines being, but not limited\nto, Google, MSN, Yahoo, Overture, AltaVista, Hotbot and similar search or\ndirectory engines); (c) set commission tracking cookies through loading of ReadyShip site in IFrames, hidden links and automatic\npop ups that open readyship.co\u2019s site; (d) targets text on web sites, other than those web sites 100%\nowned by the application owner, for the purpose of contextual marketing; (e)\nremoves, replaces or blocks the visibility of Affiliate banners with any other\nbanners, other than those that are on web sites 100% owned by the owner of the\napplication.<\/p>\n\n\n\n 9. Grant of\nLicenses<\/strong><\/p>\n\n\n\n 9.1. We grant to you a\nnon-exclusive, non-transferable, revocable right to (i) access our site through\nHTML links solely in accordance with the terms of this Agreement and (ii)\nsolely in connection with such links, to use our logos, trade names,\ntrademarks, and similar identifying material (collectively, the “Licensed\nMaterials”) that we provide to you or authorize for such purpose. You are\nonly entitled to use the Licensed Materials to the extent that you are a member\nin good standing of readyship.co’s Affiliate Program. You agree that all uses of the Licensed Materials\nwill be on behalf of readyship.co and the good will associated therewith will inure to the sole benefit of\nreadyship.co.<\/p>\n\n\n\n 9.2. Each party agrees\nnot to use the other’s proprietary materials in any manner that is disparaging,\nmisleading, obscene or that otherwise portrays the party in a negative light.\nEach party reserves all of its respective rights in the proprietary materials\ncovered by this license. Other than the license granted in this Agreement, each\nparty retains all right, title, and interest to its respective rights and no\nright, title, or interest is transferred to the other.<\/p>\n\n\n\n 10.\nDisclaimer<\/strong><\/p>\n\n\n\n READYSHIP.CO MAKES NO\nEXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING READYSHIP.CO SERVICE AND WEB SITE OR THE PRODUCTS OR\nSERVICES PROVIDED THEREIN, ANY IMPLIED WARRANTIES OF READYSHIP.CO ABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND\nNON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED AND EXCLUDED. IN ADDITION, WE MAKE NO\nREPRESENTATION THAT THE OPERATION OF OUR SITE WILL BE UNINTERRUPTED OR ERROR\nFREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR\nERRORS.<\/p>\n\n\n\n 11.\nRepresentations and Warranties<\/strong><\/p>\n\n\n\n You represent and\nwarrant that:<\/p>\n\n\n\n 11.1. This Agreement has\nbeen duly and validly executed and delivered by you and constitutes your legal,\nvalid, and binding obligation, enforceable against you in accordance with its\nterms;<\/p>\n\n\n\n 11.2. You have the full\nright, power, and authority to enter into and be bound by the terms and\nconditions of this Agreement and to perform your obligations under this\nAgreement, without the approval or consent of any other party;<\/p>\n\n\n\n 11.3. You have\nsufficient right, title, and interest in and to the rights granted to us in\nthis Agreement.<\/p>\n\n\n\n 12.\nLimitations of Liability<\/strong><\/p>\n\n\n\n WE WILL NOT BE LIABLE TO\nYOU WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT,\nNEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY\nINDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT\nLIMITATION, LOSS OF REVENUE OR GOODWILL OR ANTICIPATED PROFITS OR LOST\nBUSINESS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.\nFURTHER, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT,\nIN NO EVENT SHALL READYSHIP.CO’S CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS\nAGREEMENT, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR\nOTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL COMMISSION FEES PAID TO YOU\nUNDER THIS AGREEMENT.<\/p>\n\n\n\n 13. Indemnification<\/strong><\/p>\n\n\n\n You hereby agree to\nindemnify and hold harmless readyship.co, and its subsidiaries and affiliates, and their directors, officers,\nemployees, agents, shareholders, partners, members, and other owners, against\nany and all claims, actions, demands, liabilities, losses, damages, judgments,\nsettlements, costs, and expenses (including reasonable attorneys’ fees) (any or\nall of the foregoing hereinafter referred to as “Losses”) insofar as\nsuch Losses (or actions in respect thereof) arise out of or are based on (i)\nany claim that our use of the affiliate trademarks infringes on any trademark,\ntrade name, service mark, copyright, license, intellectual property, or other\nproprietary right of any third party, (ii) any misrepresentation of a\nrepresentation or warranty or breach of a covenant and agreement made by you\nherein, or (iii) any claim related to your site, including, without limitation,\ncontent therein not attributable to us.<\/p>\n\n\n\n 14.\nConfidentiality<\/strong><\/p>\n\n\n\n All confidential\ninformation, including, but not limited to, any business, technical, financial,\nand customer information, disclosed by one party to the other during\nnegotiation or the effective term of this Agreement which is marked\n“Confidential,” will remain the sole property of the disclosing party,\nand each party will keep in confidence and not use or disclose such proprietary\ninformation of the other party without express written permission of the\ndisclosing party.<\/p>\n\n\n\n 15.\nMiscellaneous<\/strong><\/p>\n\n\n\n 15.1. You agree that you\nare an independent contractor, and nothing in this Agreement will create any\npartnership, joint venture, agency, franchise, sales representative, or\nemployment relationship between you and readyship.co. You will have no authority to make or accept\nany offers or representations on our behalf. You will not make any statement,\nwhether on Your Site or any other of Your Site or otherwise, that reasonably\nwould contradict anything in this Section.<\/p>\n\n\n\n 15.2. Neither party may\nassign its rights or obligations under this Agreement to any party, except to a\nparty who obtains all or substantially all of the business or assets of a third\nparty.<\/p>\n\n\n\n 15.3. This Agreement\nshall be governed by and interpreted in accordance with the laws of Japan without regard to the conflicts of laws and\nprinciples thereof.<\/p>\n\n\n\n 15.4. You may not amend\nor waive any provision of this Agreement unless in writing and signed by both\nparties.<\/p>\n\n\n\n 15.5. This Agreement\nrepresents the entire agreement between us and you, and shall supersede all\nprior agreements and communications of the parties, oral or written.<\/p>\n\n\n\n 15.6. The headings and titles\ncontained in this Agreement are included for convenience only, and shall not\nlimit or otherwise affect the terms of this Agreement.<\/p>\n\n\n\n 15.7.
